Independent consultancy was founded in 1996. Selected clients have included PlayNetwork, Inc., InterNap Network Services, Pyramid Breweries, AEI Music, University Mechanical Contractors, Mayne Nickless Limited and Meiji LLC. Projects include:
- Created strategic planning processes and financial models to successfully obtain equity and bank financing in multiple rounds in difficult markets. Amounts raised ranged up to $101 million.
- Investigated the potential implications of major business development and restructuring proposals and provided recommendations, helping management maintain focus, properly evolve their businesses and optimize asset utilization.
- Analyzed under-performing marketing channels and other business segments to objectively determine possible causes of inadequate performance and indicate solutions.
- Developed sales forecasting tools and methodologies to systematize sales management and support financial forecasting.
Modeled expected business performance, allowing a comprehensive and objective understanding of business drivers for Board, investor and analyst discussions.
- Provided analysis and projections for investors preparing a proposal to purchase and finance the purchase of a locally prominent Seattle-based publicly held company. Created the analytical tools used to decipher the target’s SEC reports and the forecasting models used to present the investors’ plan to the target and to potential financiers.
- Modeled the target business for a successful $275 million acquisition, planning the new structure and anticipating the financial impact of operating the business.
- Evaluated numerous acquisition opportunities in various industries that were rejected due to insufficient potential returns or inadequate business models, as indicated by the evaluations.
- Developed a post-IPO capital expenditure model for new brewery and restaurant operations, introducing a more disciplined approach that allowed much better funds allocation.
- Advised on the terms, conditions and negotiating stance for a successful bank facility replacement and a new bank relationship more appropriate for a public company.
- Researched US and Canadian market data on express shipping patterns for business development, alliance and reorganization proposals to keep them confidential from competitors and staff.
- Investigated the amount and cause of a $C 12 million loss contract at a Canadian subsidiary, resulting in top management changes and eventual disposition of the subsidiary.
- Managed the wind down of a holding company, including an environmental settlement for more than 30 fuel tank sites, a complex $2 million insurance settlement of formerly self-insured claims-tails and a tax audit of multiple former subsidiaries. This freed company executives located out of the country to focus on their business.
Previously Vice President and Treasurer of Mayne Nickless North America, a diversified $400 million subsidiary of Mayne Nickless Limited ("Maynes", now known as Mayne Group) of Australia. Served two tours in Australia with Maynes, including one as Corporate Treasurer.
- Established, managed and hedged a captive finance subsidiary with multi currency assets in excess of $100 million. This utilized a substantial tax loss carry-forward and minimized worldwide tax exposure.
- Analyzed and evaluated many acquisition and divestiture transactions, from branch-sized up through $50 million, providing objective input to the Board approval process.
- Prepared forecasts, sales memoranda and other related documentation and participated in due diligence management and dispute resolution on large transactions, enabling more efficient use of advisors.
- Developed and implemented a multi-unit, multi-currency treasury management system to manage and account for over $100 million in investments as well as all inter-company loan transactions and swaps. This resulted in direct payroll cost reduction, improved accuracy and much quicker accounting closings.
- Wrote planning and acquisition analysis models used throughout MNL worldwide to ensure consistent evaluation of opportunities regardless of location.
- Established and managed a $US 100 million London Euro-commercial paper program, the first overseas “public” facility and the first step towards eventual agency rating and listing on the London stock exchange. This was the vehicle for exposing the company to overseas investors.
- Negotiated, signed and managed multi-currency operating lines of credit, providing funding to overseas subsidiaries, extending banking relationships and balance sheet hedging for foreign currency assets.
- Designed and managed a balance sheet currency risk hedging program and introduced the use of interest rate and cross-currency swaps, providing balance sheet and interest rate risk management for significant foreign currency assets where no effective program had existed.
